Woodley Lakes Men's Golf Club Constitution & Bylaws
As Amended and approved by the General Membership on June ll , 2009

Article 1 - Name
 

The name of this organization shall be the "Woodley Lakes Men's Golf Club", hereinafter referred to as the "Club".

Article 2 - Objectives

Conduct golf activities for members of the club. Sponsor social activities for the general membership. Cooperate with the Department of Recreation and Parks for the betterment of public golf links. To affiliate with such golf association as shall be to the interests of the Club and to maintain standard handicaps for all members.
 
Article 3 - Membership
  • Section 1- Any male person 18 years of age or over, of good character upon application, shall be eligible to membership in the Club, providing such application is accompanied with dues and initiation fees as apply to new members. Each applicant shall agree to observe all rules of golf courtesy and safety, as well as the rules and regulations ofthe Department of Recreation and Parks as they apply to the use of the Woodley lakes Golf Course.
  • Section 2- Only members in good standing may participate in any Club Activity.
  • Section 3 - A quorum for any regular meeting of the General Membership shall be those members present or by proxy. Each active member in good standing shall be entitled to one vote.
  • Section 4 - In the event any member of this organization shall commit any act which reflects discredit or dispute thereon or shall refuse or neglect to comply with the rules and regulations adopted by the Board of Directors or duly authorized officer of the Club, such member shall be subject to suspension or expulsion, after ten days written notice and the right to be heard, by a vote of two thirds of the Board of Directors approving such action. The member will have ten days in which to apply for a hearing by the Board at any regular meeting or a meeting convened for that purpose. Unless and until the Board, by a three-fourths vote, rescinds, revised or reduces the disciplinary action against the member, all rights and privileges shall be suspended.
Article 4 - Board of Directors
  • Section 1 - The policy business and affairs of the club shall be directed by the Board of Directors which shall consist of thirteen members, of which one will be the immediate past active president of the club. The remaining twelve directors shall consist of the following officers: President, Secretary, Treasurer, and nine chairmen; Home Tournament, Away Tournament, Handicap, Special Events, Membership, Los Angeles Rec and Parks Golf Advisory Committeeman, Public Links Representative, Scrip, and Communications.
  • Section 2 - The Board of Directors shall meet subject to the call of the President or at the call of no less than 7 (seven) of the members of the Board of Directors. A majority of the Board shall constitute a quorum.
  • Section 3 - At least five weeks prior to the Annual Election the President shall appoint a nominating committee consisting of a minimum of two members from the general membership. At least three weeks prior to the Annual Election the committee shall submit to the Board and post on the website or regular mail a list of candidates nominated for all positions. Names of other members in good standing may be a write-in in the other box indicating they will serve if elected.
  • Section 4 - Voting shall be by electronic ballot or_written ballot dated or postmarked by Octoberlst prior to the Annual meeting. Ballots must be mailed with complete return address. Those names receiving the greatest number of votes cast shall be declared to be elected. The Nominating Committee shall supervise the voting. 
  • Section 5 - Any vacancy which may occur in any office, or in the Board of Directors, shall be filled by a person appointed by the Board of Directors, who shall serve until the next election of officers.
  • Section 6 - A member of the administrative staff of the Department of Recreation and Parks shall be an ex officio member of the Board of Directors of this Club and act in an advisory capacity.

Article 5- Officers
  • Section 1 - The officers of the Club shall consist of the President, Secretary and Treasurer. Their election shall be as specified in Article 4. Their duties shall be such as their titles would indicate or such as may be assigned to them from time to time.
  • Section 2 - The President shall be the chief executive and administration officer of the Club, and shall preside at all meetings of the Board of Directors, and at all meetings of the General Membership. In the absence of the President, one of the officers in the order named in Section 1 of this article shall preside.
  • Section 3 - The immediate past President shall be a member of the Board of Directors, entitled to act and vote as such as long as he is an active Board Member.
  • Section 4 - The term of officers shall be one (1) year or until a successor has been installed.

Article 6- Amendment
  • Section 1 - Proposed amendments of this constitution must be presented in writing to the Board of Directors and are subject to their approval before they may be presented to the membership for acceptance. General membership voting will be by meeting determined by the Board of Directors, electronic vote, or absentee mail-in ballot.
  • Section 2 - This constitution may be amended by a majority vote of the membership. It is required that notice of such amendment has appeared on the club website or written notice mailed to each member at least five (5) days prior to the meeting.
Bylaws

Section 1 - Dues

  • Part 1 - Membership dues shall be established by the Board of Directors in amounts as they deem to be adequate to operate and maintain the Club, and shall be payable on the first day of November of each year.
  • Part 2 -Tournament prizes not covered by special entry fees shall be paid out of the club treasury at the discretion of the Board of Directors.
Section 2 - Duties of Office

  • Part 1 - The Board of Directors shall authorize and defme the powers and duties of all committees . Chairmen and members of all committees, other than standing committees, shall be appointed by the President. The President shall be an ex officio member of all committees except the Nominating Committee.
  • Part 2 - The Secretary shall record and maintain the minutes of each general and board meeting.
  • Part 3 - The Treasurer shall handle and maintain all monies for the Club, keep itemized accounts of all receipts and expenditures, submit financial reports to the Board of Directors and an annual report to the membership. The Treasurer shall be responsible for the deposit of all club funds in such bank or banks as may be selected by the Board of directors and shall be responsible for all checks issued.
Section 3- Committees

  • Part 1 - The standing committees shall be:
(a) Membership committee. The Membership Chairman shall chair the committee. The committee shall conduct campaigns for membership; co-operate with the Treasurer in the maintenance of membership records through the payment of dues; produce mailings for membership renewals; and promote such membership activities as may be directed by the Board of Directors.

(b) Tournament Committee. Shall consist of two committees; away tournament and home tournament-each of which to be headed by the respective Chairman. Their duties shall be to program and schedule club tournaments, to manage and conduct those tournaments. The results of such tournaments shall be given to the Publications Chairman, Treasurer and Scrip Chairman as soon as possible for the distribution of prize funds. They shall lend support to, cooperate with, and utilize services of Woodley Lakes concessionaires. The Tournament chairmen shall determine the eligibility of golfers playing in their respective tournaments and to adjust or provide handicaps with the assistance of the Handicap Chairman.

(c) Handicap Committee. Shall be headed by the Handicap Chairman. Duties shall be to determine the standard index for each member of the Club in accordance with the rules of the club and other club affiliation. The chairman shall provide each tournament chairman a copy of each month's index sheet as soon as possible. Any questions on interpretation of golf rules at a tournament shall be resolved by either the handicap or tournament chairman.

(d) Special Events. Shall be headed by the Special Events Chairman. Duties shall be tournament director of the President's Cup Match Play, the Senior's Match Play and MGA Team-6. (e) LA City Golf Advisory Board Representative. Chairman shall make recommendations for improvement of the Woodley Lakes Golf Course and means whereby the members of the club can assist in its preservation and maintenance.

(f) Public Links Rep. Chairman will provide interface for flow of information between the Club and Golf Association.

(g) Scrip. Chairman will issue and distribute WLMGC Scrip awards.

(h) Communications Chairman shall publish and maintain the Club website, ewedges and other electronic communications with Club members.

  • Part 2 - Standing Committees shall be created or abolished only by amendment to these bylaws. Temporary or special committees may be appointed or discharged by the President.

Section 4- Meetings
  • Part 1 - Membership meetings of the Club shall be as determined by the Board of Directors.
  • Part 2 - The Annual Membership Meeting shall be in October.
  • Part 3 - Special meetings may be called by the President at any time by giving five (5) days written or electronic notice to all Club members.
  • Part 4 - All members of the Club shall be notified of the Annual and other meeting of the Club by means of the WLMGC website or regular mail.
Section 5-Impeachment of Officers and Directors
  • Part 1 - The impeachment or removal of any officer or director shall be conducted as stated in Article 3, Section 4.
Section 6 - Rules of Order
  • Part 1- The Board of Directors shall be the parliamentary authority for the conduct of business of this Club subject to the constitution and bylaws of the Club. A Parliamentarian may be appointed by the President.
Section 7 - Finance
  • Part 1 - The Board of Directors shall have no power to authorize, approve, or ratify, nor shall the President or any other representative of the Club have any power to enter into any obligation involving payment or expenditure of any money of the funds of the Club in excess of the cash balance in the Club treasury at the time of the action.
  • Part 2 - The club shall bond the Treasurer in such amount as may be decided by the Board of Directors.
Section 8 - Amendments
  • Part 1 - These bylaws may be repealed or amended by majority vote of the members of this Club present and voting at any general meeting. Notice on the Club website shall be deemed sufficient.
  • Part 2 - Proposed amendments to these bylaws must be presented in writing to the Board of Directors and are subject to their approval before they may be presented to the membership for acceptance.
Section 9 - Nonprofit
  • Part 1 - This Club is hereby declared to be organized for the purpose other than pecuniary profit, and does not and shall not contemplate the distribution of gains, profits, or dividends to its members or officers.
